Description:
This research aims to demonstrate that modified terms of contractual
liability in transactions are permissible, as they allow the aggrieved
party to claim their rights in the event of a breach of contract, in
accordance with the contractual liability stipulated in the Civil
Transactions Act. Modified terms of contractual liability are
increasingly prevalent in contemporary contracting, making their
understanding essential.
Methodology
The researcher adopted a two-fold approach:
Historical and Documentary Method: By consulting Islamic
jurisprudence (Fiqh), linguistic references, and lexicons to establish
terminology, as well as reviewing positive law, including Sudanese
and Egyptian laws among others.
Descriptive-Analytical Method: Through a precise and detailed
explanation of the legal provisions.
Research Problem
The core problem of this research lies in answering the following
question: Are the modified terms of contractual liability explicitly
stipulated in the Civil Transactions Act of 1891?
Key Findings
The research concludes that exemption from contractual liability
constitutes a departure from the general rules of liability. Under
general principles, contractual liability is established whenever a
debtor breaches a contractual obligation arising from the agreement.
Recommendations
The study recommends upholding the mitigation clause (limitation of
liability). It was observed that this clause takes several forms, which
have been categorized into two general types:
Mitigation regarding the degree or type of obligation.
A specific form pertaining to clauses that shorten the statute of
limitations (prescription period)
